Optional, separate document: it only describes equity investment in WAIO. It is not part of commercial implementation or the micro-pilot.
You can implement WAIO without investing.
How the investment works
We use a future equity agreement (known as a SAFE). It is not a loan: it accrues no interest and has no maturity date. It entitles you to receive shares when WAIO raises a formal equity round, with a valuation cap of USD 4 million and a 20% discount to that round’s price.
It is treated as company equity capital (innovation or corporate-development budget), not as a marketing or trade expense.
What ownership each amount implies (USD 4M cap)

What an investor gets
Beyond equity upside (shares that may appreciate in a future round), investors also get these additional rights. They are not part of commercial implementation. They are subject to a signed investment agreement and rights side letter.
- Future ownership in the company based on the amount invested
- Right to invest again in the next round to maintain ownership (pro rata)
- Periodic business and product updates (with no other brands’ data)
- If another investor gets better price terms, you get them too (MFN)
What it does not include
- Discount on the per-activation cost (USD 0.50) or free activations
- Category or brand exclusivity
- A board seat, veto rights, or a company purchase preference
- A guaranteed tax benefit
- The benefits of commercial implementation (those come from activating WAIO on the brand — no investment required)
